Carroll County Garden Club
By-Laws
Organized July 13, 1996


Article I – Name

The club shall be known as "Carroll County Garden Club."

Article II – Purpose

The purpose of the club shall be to promote the enjoyment and practice of gardening, to educate the community, and to enhance the beauty of our towns through gardening.

Article III – Membership

To be considered an active member of the Carroll County Garden Club, an individual must:
  A.   Pay annual dues
B.   Have an active interest in gardening
C.   Participate in at least one (1) club activity per year.   (Examples of club activities: hosting a meeting, preparing a lesson or program, helping with the annual garden fair or other club endeavor.)

Article IV – Dues

Dues shall be payable annually in January in an amount set by a simple majority vote of the active membership roll.

If dues are not paid in full by the May meeting, an individual will be dropped from the membership roll.

New members may be admitted at any monthly meeting by paying the full annual dues.

Article V – Officers

The officers of this club shall be President, Vice President, Secretary, and Treasurer.

All elected officers shall serve a term of two years. There shall be no limit to the number of terms an officer shall hold.

The election of officers shall take place in October. The officers’ terms shall start the following January.

The election of officers shall take place in alternating years with the President and Treasurer being elected and then the following year the Vice President and Secretary.

Any active member may volunteer to serve an open term of office.

Article VI – Duties of Officers

A.   President
  1. Direct all activities of the club
  2. Preside at all meetings
  3. Prepare an agenda for each meeting
  4. In the absence of the Secretary, appoint a temporary secretary for the meeting.
  5. Establish committees and appoint a committee chairperson
B.   Vice President
  1. Assume the responsibilities of the President in his/her absence.
  2. Assist the President in carrying out the functions of the club.
  3. Have a potential for assuming the presidency.
  4. Chair the publicity committee for the Garden Fair with duties that include advertising the Fair and drafting and mailing letters to vendors.
C.   Secretary
  1. Record minutes of each meeting, giving a copy of the report to the President before the next meeting.
  2. Retain a separate record of all pertinent club motions passed for each year.
  3. Report at each meeting.
  4. Inform members of meeting locations and special instructions for meetings or trips.
D.   Treasurer
  1. Keep a record of bills, receipts, income, and disbursements, and report at each meeting.
  2. Pay all bills.
  3. Coordinate, assign, and map booth space at Garden Fair.
Article VII – Meetings

The club shall meet from 10:00 a.m. to noon on the second (2nd) Saturday of each month of the year, excluding December.

The nominating committee shall meet in August to identify a slate of officers to be elected at the October meeting.

Meetings shall be held at members’ homes or a special location with light refreshments provided by the member host.

The member host shall give a short garden-related program, provide a guest speaker, or give a tour of his/her gardens at the meeting.

Article VIII – Committees

There shall be such committees as the President deems necessary, each to be headed by a chairperson appointed by the President. Chairpersons shall select one or more committee members as deemed necessary.

Article X – Guests

Guests are welcome to any meeting.

Article XI – Reimbursement of Expenses for Club Trips

The most recent IRS not-for-profit mileage rate will be used to reimburse those members who transport other members on club trips.

Article XII – Amendments

These by-laws may be amended at any regular meeting, provided the amendments shall have been offered in writing at the previous meeting, and after all members have had a month’s notice in writing of such contemplated actions.

Amendments to be adopted must be carried by a simple majority of the number of paid memberships.
