Before immediately attacking Shadow, I suggest you get a hold of a few rings. Then do fast homing attacks into him. He may also counter your attacks his own homing attack.

 

When Shadow attacks, dash to the side quickly. If he hits you, be sure to collect more rings.

 

Manage to hit Shadow three times and you've beaten him, for now...
