Re: Agreement with Corn Card International, Inc.
Please review a copy of the "kind of" agreement (attached) that will need to the signed. The more complex the agreement, the longer it will take to receive approval. In the past, agreements have been able to be completed with 4 pages plus a schedule A that defines the fees.
Several other items need to be clarified too:
1. IAPC does not own a technological process for converting corn, corn products or by products into a resin that is biodegradable. IAPC knows the sources to acquire these resins and has modifications that can be made to them that will allow them to be used in certain applications. IAPC is in the business of research, development, production and sales of compounds, compositions, materials, processes and products which are useful in the modification of or utilization of degradable polymers.Sincerely,2. The parties are desirous of licensing IAPC's Proprietary Information for the purpose of development, manufacturing, distribution and sale of phone cards and greeting cards. Corn Card International, Inc., has previous been notified that IAPC began development work in April 1994 on a degradable polymer credit card and licensing rights do not include this or related applications.
3. IAPC Proprietary Iformation. The parties agree that the term "IAPC Proprietary Information, Trade Secrets and confidential information" means (1) business and technical information concerning products, compositions, raw materials, formulations, additives, components, production processes, purification processes, recovery processes, engineering designs, plant layout, product concepts, customers, prospective customers, business partners, and prospective business partners (2) material and product samples, and (3) all intellectual property rights associated with any of the foregoing, including but not limited to patents, trade secrets, know-how and copyrights; which are related to the business of IAPC and which have been or are disclosed to Recipient, including by providing access to the facilities of IAPC.
