Name: The official name of the club shall be "Long Yang Club - Minnesota"; hereinafter referred to as "Jade Loon Club".
The Council: The majority of Council members shall be of Asian descent, have extensive knowledge of Asian culture, and be capable of carrying out the Mission Statement.
a. A Chairperson, Treasurer, Secretary, Chair of the Social Committee and Chair of the Educational Committee shall comprise the Council.
b. The Chair, Treasurer, and Secretary shall be elected by LYC Members in January at the General Membership Meeting and shall serve for staggered terms. Term of office for all positions shall be two years, except for the first election. During th at election, the Treasurer and Secretary shall be elected for a one year term; the following year, they will be elected for a two year term. The membership in attendance at the January Meeting shall vote on the candidates by written ballot. It is permis sible to have a ballot with only one candidate for a position. Where there are several candidates running for a given office, election shall be by plurality vote. Members interested in election to Council positions shall write a "Letter of Interest " and submit it to the Council along with signatures of fifteen LYC members.
c. The Council is responsible for achieving the objectives of Jade Loon Club as set forth in the Mission Statement. Duties of the Council include:

The Treasurer has authority to sign checks which shall be co-signed by either the Secretary or Chairperson.
The financial year of the Jade Loon Club shall run from January 1 to December 31 for each year to which later date the accounts of the club shall be balanced.
Committees:
Nomination and Election Committee: Three volunteer members approved by the Council not later than October 31 shall comprise the Nomination and Election Committee. The Nomination and Election Committee shall oversee the election process for candidates seeking election to the Council. If there is a vacancy on the Council within the term of office, the Nomination and Election Committee will reconvene and carry out a mid-year election.
Social Committee: The Social Committee will plan and implement social, athletic, and entertainment programs for the Jade Loon Club. Members will be volunteers who will select their Chairperson in February. There will be a mandatory meeting of the Social Committee once a month. The Chair will determine the time and place of meetings, and how often the committee will meet. The Chair will sit as a voting member on the Council.
The Social Committee shall include two subcommittees Hosts and the Outreach Subcommittee.
Hosts are responsible for welcoming new and out-of-town members. They help others feel welcome and comfortable at Jade Loon events. Designating hosts for all events is the responsibility of the Social Committee.
The Outreach Subcommittee is responsible for developing internal communications.
The Educational Committee shall develop and present programs to heighten awareness of the GLBT Asian Community and Asian culture. It will gather information on local Asian events and communicate these events to the Jade Loon members. Members w ill be volunteers who will select their Chairperson in February. There will be a mandatory meeting of the Educational Committee once a month. The Chair will determine the time and place of meetings, and how often the committee will meet. The Chair will sit as a voting member on the Council.
The Communications Committee shall be chaired by the Secretary. The Communications Committee is responsible for:
Membership in the Jade Loon Club is open to all Gay, Lesbian, Bisexual and Transgender people who have attained the age of 18. The Council shall determine the conditions attached to membership. Membership applications shall be reviewed by the Council. Members in good standing shall be eligible to vote at the General Meetings and to stand for election to the Council. The Council can recommend a membership fee. Free will offerings will be sought at all events. The Council has the authority to revoke membership.
Amendments to the By-Laws
Amendments to the By-Laws of the Jade Loon Club only may be made by resolution passed by a majority vote of the membership in attendance at the January General Meeting. The membership must be notified of proposed amendments at least 30 days befor e the January General Meeting.
