For valuable consideration, the Owner and Contractor agree as follows:

The Owner agrees to furnish Contractor certain confidential information to the affairs of the Company for purposes of seeking funding for Company or prospective company.

The Contractor agrees to review, examine, inspect, or obtain such information only for the purpose described above, and to otherwise hold such information confidential pursuant to the terms of this agreement.

Such Owner's information shall not be disclosed for any third party, unless he or she agrees to execute and be bound by the terms of this agreement and is solely involved in the financing purpose of the Owner's company.

The Contractor shall have no obligation with respect to any information that is known by the Contractor or generally known within the industry prior to date of this agreement or that becomes common knowledge within the industry thereafter.
