This agreement is, hereby, entered into between ______________________ and the Freedom Investment Company, located at 67 Wall Street, 22nd Floor, New York, N.Y. 10005.

1. I, __________________________, hereby, agree to appoint the Freedom Investment Company as my authorized representative to submit financial data and information supplied by me to a prospective lender/investor, for the purpose of obtaining funding of either loan or equity, as the case may be, with terms and conditions acceptable to me.
   
2. I, the above written, hereby, agree to pay the Freedom Investment Company compensation of ______% of the total funding provided by lender/investor, which shall be due and payable upon disbursement of the funding provided. I, further, authorize this compensation to be paid directly from the proceeds of such funding, when this is agreeable to the lender/investor.
   
3. Herein, prior to written notice of termination by either party, the right of the Freedom Investment Company in securing financing shall not be divested by any subsequent termination of this agreement.
   
4. This agreement is a binding, complete, and final integration of the above parties, unless an Addendum to this contract is approved by both the Freedom Investment Company and the above named party seeking financing.
